Terms of Service

Effective Date:  ·  Last Updated:

These Terms of Service (“Terms”) form a binding commercial agreement between OneClick (“OneClick”, “we”, “us”, or “our”), located in Carmel, Indiana, United States, and the business or individual (“Merchant”, “you”, or “your”) accessing https://yesoneclick.com or installing and using the OneClick: Google Ads Tracking Shopify application (the “Service”).

By installing, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Description of the Service

OneClick: Google Ads Tracking is a business-to-business software application built for Shopify merchants. It connects a Merchant’s Shopify store to the Merchant’s authorized Google Ads and/or Google Merchant Center accounts to create conversion actions, deploy storefront conversion tracking (via Shopify Theme App Embed, Shopify App Web Pixel, and/or Shopify Customer Events Custom Pixel), transmit Google Consent Mode v2 and Enhanced Conversion signals, and display diagnostic health checks.

2. Eligibility & Account Authorization

  1. Commercial Use Only: The Service is provided strictly for commercial business operations by authorized owners, staff, or agencies of a Shopify store.
  2. Third-Party Platforms & Non-Affiliation: Use of the Service requires active accounts in good standing with both Shopify and Google Ads. Your use of Shopify and Google services remains governed by Shopify’s and Google’s respective terms and policies. OneClick is an independent third-party software provider and is not affiliated with, endorsed by, or sponsored by Google LLC or Shopify Inc.
  3. Google API Authorization: By connecting a Google account inside OneClick, you authorize OneClick to create, read, and update conversion actions and upload conversion adjustments within the specific Google Ads Customer ID(s) you select.

3. Billing, Free Trial & Cancellation

  1. Shopify Native Billing: All subscription fees are billed exclusively through Shopify’s Recurring Application Charge API in United States Dollars (USD) and appear directly on your Shopify invoice. OneClick never collects credit card numbers directly.
  2. Free Trial: New eligible installations include a 7-day free trial as displayed on the Shopify charge approval screen. If you uninstall the Service before the trial period expires, Shopify will not bill you.
  3. Recurring Cycle & Plan Changes: After the trial period, Shopify bills the applicable plan fee every 30 days. If we introduce new optional tiers in the future, your existing active subscription will never move to a higher-priced tier without your explicit approval on Shopify’s billing confirmation screen.
  4. Cancellation: You may cancel your subscription at any time with immediate effect simply by uninstalling OneClick: Google Ads Tracking in your Shopify Admin (Settings → Apps and sales channels). Shopify manages prorations and billing cycle cutoffs according to Shopify’s App Billing policies.
  5. Refunds: Because billing is processed on a 30-day self-service basis with an upfront 7-day free trial, subscription charges are generally non-refundable once billed, except where required by law or approved in good faith by our support team (support@yesoneclick.com) in cases of verified service malfunction.

4. Merchant Responsibilities & Privacy Compliance

You are solely responsible for:

  1. Storefront Consent Banners (EEA / UK / Regulated Regions): Configuring and maintaining a legally compliant cookie and privacy consent banner integrated with Shopify’s Customer Privacy API (Shopify.customerPrivacy) wherever required by GDPR, UK GDPR, the ePrivacy Directive, Google’s EU User Consent Policy, or US state privacy laws. While OneClick reads Shopify.customerPrivacy to enforce Google Consent Mode v2 automatically, OneClick does not provide legal advice or supply your storefront’s consent banner UI.
  2. Storefront Privacy Disclosures: Disclosing your use of advertising measurement tools (including Google Ads and Enhanced Conversions) in your own store’s customer-facing privacy policy.
  3. Avoiding Competing Duplicate Tags: Reviewing your Google Ads conversion goal settings (Goals → Conversions) and legacy theme/checkout scripts so third-party tags do not conflict with your OneClick setup.

5. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, scrape, or attempt to extract non-public source code or multi-tenant infrastructure of the Service;
  • Probe, bypass, or forge request signatures, authentication tokens, or rate limits on yesoneclick.com or any Service application and API endpoints;
  • Transmit unlawful, fraudulent, or malicious payloads through storefront event endpoints or support channels;
  • Use the Service in violation of Google Ads policies (including policies governing sensitive health, financial, or restricted categories).

6. Intellectual Property

OneClick retains all right, title, and interest in and to the Service, software, compiled pixel templates, documentation, and trademarks. You retain all right, title, and interest in and to your store data, order data, and Google Ads accounts.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OneClick does not guarantee specific Google Ads campaign return on ad spend (ROAS), cost per acquisition, ad approval outcomes, or 100% browser event capture (which may be affected by shopper ad-blockers, shopper consent refusals, browser privacy restrictions, or changes to Shopify or Google APIs).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. IN NO EVENT SHALL ONECLICK OR ITS AFFILIATES, OFFICERS, OR OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF AD SPEND, PROFITS, REVENUE, GOODWILL, OR DATA ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
  2. ONECLICK’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY TWELVE (12) MONTH PERIOD SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO ONECLICK IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TEN UNITED STATES DOLLARS ($10.00 USD).
  3. Independent Risk Allocation: Each disclaimer, exclusion of consequential/ad-spend damages, and liability cap in Sections 7 and 8 is an essential, bargained-for basis of the Service’s low flat pricing and applies independently of every other provision, even if any limited remedy fails of its essential purpose.

9. Indemnification

You agree to indemnify and hold harmless OneClick from third-party claims, fines, or liabilities arising out of (a) your breach of these Terms, (b) your failure to obtain legally required shopper consent or provide required privacy disclosures on your storefront, or (c) your violation of Google Ads or Shopify policies.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict-of-law principles. Any dispute not resolved informally within thirty (30) days after written notice to support@yesoneclick.com shall be brought exclusively in the state or federal courts located in Hamilton County or Marion County, Indiana.

11. Severability, Modifications & Contact

If any provision or dollar limitation in these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum permissible extent (or severed solely to the minimum extent required) and all remaining provisions—including Section 8.1’s exclusion of consequential damages and lost ad spend—shall remain in full force and effect.

We may update these Terms from time to time by posting the revised version at https://yesoneclick.com/terms with an updated date. Continued use of the Service after an update constitutes acceptance of the revised Terms.

Questions about these Terms may be sent to support@yesoneclick.com.
